Booking Confirmation – The document confirming scope, price, and details of work.
Business Day – Any weekday excluding bank holidays in England and Wales.
Charges – Fees for services as agreed in the Booking Confirmation.
Conditions – These Terms and Conditions.
Contract – The agreement formed between Customer and Supplier.
Customer Materials – Data, artwork, branding, digital files or materials supplied by the Customer.
Deliverables – Any product, service, or creative output from the Supplier.
Intellectual Property Rights – All IP rights including but not limited to copyright, trademarks, trade secrets, patents, and designs.
Services – Any printing, design, branding, or consultancy services.
Supplier Materials – Items created by Greybutterflyink Limited, including modified Customer content.
Supplier IPRs – Proprietary tools, code, templates, or reusable creative frameworks owned by the Supplier.
These Conditions apply to all contracts unless specifically altered in writing. The Contract comprises:

Where conflicts arise, the Booking Confirmation prevails over other documents.
The Contract starts upon acceptance by both parties and continues until:
Completion of the work specified, or Termination with written notice as defined in the Booking Confirmation.

The Supplier shall:
Perform services with skill and care;
Use reasonable efforts to meet agreed timelines;
Inform the Customer of any known delays;
Request approval before engaging third-party costs;
Treat Customer Materials responsibly and return or destroy as required post- contract.
The Customer shall:
Provide necessary data, feedback, or approvals in a timely fashion;
Ensure intellectual rights for any supplied materials;
Approve drafts or notify rejection with reasons within 7 days (or approval will be assumed).
Both parties will comply with relevant UK data protection laws. The Supplier is a data Processor and the Customer is the Controller, unless otherwise agreed. See Schedule 1 for specific obligations.
Customer retains ownership of Customer Materials.
Supplier assigns Deliverables upon full payment (excluding reusable tools or templates).
Supplier retains the right to display work for portfolio/promotional purposes unless agreed otherwise.
Charges and third-party costs will be invoiced as per Booking Confirmation.
Payment is due within 30 days unless stated otherwise.
Late payments may incur interest at 8% over Bank of England base rate.
Greybutterflyink Limited is not liable for:
Indirect, special, or consequential losses;
Loss of data or business opportunity;
Any claim exceeding the value paid under the relevant Booking Confirmation in the last 12 months.
This does not exclude liability for fraud or death/personal injury due to negligence.
Contracts may be terminated if:
A party breaches material terms and fails to remedy within 30 days;
A party enters insolvency;
The Customer fails to pay due invoices within a reasonable period.
Upon termination:
All outstanding sums become payable immediately;
Ongoing obligations under confidentiality, IP, or liability clauses remain enforceable.
Force Majeure – Neither party is liable for delays beyond their control.
Assignment – Supplier may subcontract; Customer may not assign rights without consent.
Confidentiality – Each party must protect the other’s confidential info for at least 2 years post-contract.
Notices – To be delivered in writing or by email.
Governing Law – English law applies.
Jurisdiction – Disputes will be settled in the courts of England and Wales.
